PLEASE READ THIS CAREFULLY. THIS MASTER TERMS AND CONDITIONS ("AGREEMENT") SETS OUT THE TERMS OF YOUR AGREEMENT WITH BUTTERFLY TO PURCHASE THE SUBSCRIPTION SERVICES AND DEVICES AS DESCRIBED HEREIN. BY CLICKING "ACCEPT," YOU ARE AGREEING TO BE LEGALLY BOUND AND TO BECOME A PARTY TO THIS AGREEMENT. THIS AGREEMENT IS EFFECTIVE AS OF THE DATE THAT YOU CLICK "ACCEPT" (THE "EFFECTIVE DATE"). For purposes of this Agreement, Butterfly Network, Inc. (ABN 71 834 979 129), will be referred to as "Butterfly" and you, or the entity on whose behalf you are acting, will be referred to as "Client". Butterfly and Client may each be referred to as a "Party" and collectively as "Parties".

WHEREAS, Butterfly is a company that provides portable ultrasound imaging probes and a hosted software service for viewing, using and storing the ultrasound images and imaging studies for various medical diagnostic purposes, research and education; and

WHEREAS, Client is a physician or other licensed / registered health care provider, medical practice, medical school or other authorised user; and

WHEREAS, Butterfly desires to sell ultrasound imaging probes and provide the associated services to Client and Client desires to purchase such ultrasound imaging probes and receive the associated services from Butterfly.

NOW, THEREFORE, in consideration of the mutual promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows:
